Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website corproster.com and any related services (collectively, the "Service") operated by CorpRoster ("CorpRoster", "we", "us", or "our").
By accessing, browsing, registering for an account, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
2. The Service
CorpRoster is an independent, neutral online register of business-to-business ("B2B") service providers, including agencies, consultancies, software vendors, and other professional services firms. The Service allows:
- Partners (companies that wish to be listed) to create public profiles, publish portfolio content, and receive inquiries from potential clients.
- Buyers (individuals or organizations seeking services) to browse listings, compare providers, view verified reviews, and submit inquiries.
- Reviewers to submit reviews of providers they have worked with.
CorpRoster is a neutral marketplace. We do not endorse, recommend, employ, control, or warrant the work, services, qualifications, or representations of any Partner. We do not perform any services on behalf of Partners and are not a party to any agreement, contract, or transaction between Partners and Buyers.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction);
- Have the legal capacity to enter into a binding contract;
- Not be barred from receiving services under applicable laws (including sanctions laws);
- Not be located in, organized under the laws of, or ordinarily resident in any sanctioned country or region, including but not limited to Iran, Russia, Belarus, North Korea, Syria, Cuba, or any other jurisdiction subject to comprehensive U.S., U.K., or EU sanctions.
We may refuse, suspend, or terminate access to the Service for any user who, in our sole discretion, does not meet these eligibility requirements.
4. Account Registration
To access certain features, you must register an account. When registering, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your password and credentials secure and confidential;
- Notify us immediately of any unauthorized access or use of your account;
- Accept responsibility for all activity that occurs under your account.
You may not share, sell, or transfer your account to anyone else. We may suspend or terminate accounts that contain false, misleading, impersonating, or fraudulent information.
5. Partner Listings and Content
5.1 Submission and Accuracy
Partners are solely responsible for the accuracy, completeness, lawfulness, and quality of all content they submit, including company information, descriptions, portfolio items, logos, certifications, locations, pricing details, and any other listing content (collectively, "Partner Content").
By submitting Partner Content, you represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to submit and publish the content;
- The content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights;
- The content is accurate and not misleading;
- The content complies with all applicable laws and these Terms.
5.2 License to CorpRoster
By submitting Partner Content, you grant CorpRoster a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, display, reproduce, distribute, modify (for technical purposes such as resizing or reformatting), adapt, and publicly perform the Partner Content solely in connection with operating, providing, and promoting the Service. This license terminates when you remove the Partner Content or close your account, except that:
- Content already shared with other users (e.g., included in cached search results, displayed in third-party widgets, or referenced in reviews) may persist for a reasonable period;
- We may retain backup copies as required by our retention policy and applicable law;
- Reviews and quotes referencing your company submitted by other users remain governed by Section 6.
5.3 Editorial Discretion
We reserve the right, but are not obligated, to review, edit, reject, or remove any Partner Content at our sole discretion, including content that we determine, in good faith, to be inaccurate, misleading, fraudulent, infringing, offensive, or in violation of these Terms.
5.4 Removal Requests
If you wish to have your Partner Content removed, you may delete it through your account dashboard or contact us at [email protected]. Removal will be processed within a reasonable time, typically within 7 business days.
6. Reviews
6.1 Who May Submit Reviews
Reviews may only be submitted by registered users (Partners or Buyers) who have had a verifiable relationship with the company being reviewed (such as a completed project, service engagement, or similar). Reviewers may choose to publish their review under their name or as "Anonymous".
6.2 Review Standards
Reviews must reflect the reviewer's genuine, honest, and good-faith experience. Reviews must not:
- Be fabricated, paid for, incentivized in a way that compromises objectivity, or submitted by anyone with an undisclosed conflict of interest;
- Contain unlawful, defamatory, threatening, harassing, obscene, hateful, or discriminatory content;
- Contain profanity, slurs, or excessive vulgarity (we may edit or remove such language);
- Disclose confidential information, trade secrets, or personally identifying details of third parties without authorization;
- Infringe any third-party intellectual property rights.
6.3 Moderation
CorpRoster manually reviews submitted reviews. As a general principle, even negative or unfavorable reviews will be published if they appear genuine. We may, in our sole discretion, remove reviews that we believe in good faith to be:
- Fraudulent, fake, or manipulated;
- In violation of these Terms or applicable law;
- The result of coordinated review attacks ("review bombing");
- Otherwise inconsistent with our community standards.
We may also edit reviews lightly to remove profanity, threats, or clearly unlawful content while preserving the substantive criticism or feedback.
6.4 Partner Responses
Partners may publicly respond to reviews on their own profiles. Responses must comply with the same standards as reviews and must not retaliate against, intimidate, or expose the personal information of any reviewer.
6.5 License Grant from Reviewers
By submitting a review, you grant CorpRoster a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, display, reproduce, modify (for moderation purposes), distribute, and publicly perform your review in connection with the Service, including after your account is closed. If your account is deleted, your display name will be replaced with "Former user", but the substantive content of the review may remain.
6.6 Reviews as Opinions
Reviews represent the personal opinions of their authors, not those of CorpRoster. We do not verify or guarantee the accuracy of individual statements in reviews. Partners who believe a review is fraudulent or unlawful may submit a dispute by contacting [email protected].
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of these Terms;
- Submit false, misleading, or fraudulent information;
- Impersonate any person or entity, or misrepresent your affiliation;
- Harvest, scrape, or otherwise extract data from the Service except as expressly permitted by our API documentation (Premium tier);
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from any part of the Service;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems;
- Upload or transmit viruses, malware, or other malicious code;
- Use the Service to send unsolicited communications ("spam") or to harvest contact information for marketing purposes;
- Engage in any activity that imposes an unreasonable load on our infrastructure;
- Solicit reviews in exchange for payment or other consideration that compromises review integrity;
- Manipulate rankings, ratings, or search results through fraudulent means;
- Violate any applicable law, including export control laws and sanctions regulations.
Violations may result in immediate suspension or termination of your account, without prior notice or refund.
8. Paid Subscriptions and Payments
8.1 Subscription Plans
Partners may subscribe to the paid "Premium" plan as a one-time purchase, billed monthly, quarterly, semi-annually, or annually, with no auto-renewal. Current pricing and feature details are published on our Pricing page at corproster.com/pricing and are incorporated by reference into these Terms.
8.2 Payment Processing
Payments are processed by Stripe, Inc., our third-party payment processor. By providing payment information, you authorize Stripe and CorpRoster to charge the applicable fees, taxes, and any other amounts owed. You also agree to Stripe's terms and privacy policy, available on Stripe's website.
CorpRoster does not store full payment card numbers. Limited information (such as the last four digits of your card, expiration date, and billing details) may be retained for accounting, fraud-prevention, and refund purposes.
8.3 One-Time Payments (No Auto-Renewal)
Paid plans are charged as a single, one-time payment for the billing period you select (quarterly, half-yearly, or annual). There is no automatic renewal and no recurring charges. Your paid plan remains active only until the end of the period you paid for. When the period ends, your plan does not renew automatically — it simply expires, and your account reverts to the free tier unless you choose to purchase a new period manually. You will never be charged automatically.
8.4 Price Changes
We may change subscription prices from time to time. Price changes will not affect a billing period already paid for, and we will provide at least 30 days' notice before any price change. Price changes never affect a period you have already paid for; they apply only to future purchases.
8.5 Refund Policy
Because paid plans are one-time purchases for a fixed period, all payments are generally final. Refunds are not automatic and are not issued automatically under any circumstance.
You may request a refund by contacting us at [email protected] with your account email and transaction details. Each request is reviewed individually. Whether a refund is granted, and in what amount (full or partial), is decided by CorpRoster on a case-by-case basis, taking into account how much of the paid period has been used and the circumstances of the request. Any approved refund is arranged directly with you by email and processed manually to your original payment method.
Submitting a refund request does not guarantee a refund. Nothing on the platform triggers an automatic refund; refunds only occur after review and explicit approval by CorpRoster.
8.6 Taxes
Prices displayed do not include taxes, levies, or duties imposed by your jurisdiction. You are responsible for any applicable taxes related to your purchase, except for those expressly identified as included in the displayed price.
8.7 Failed Payments
If a payment fails, we may retry the charge. If we cannot collect payment within a reasonable period, we may downgrade your account to the Free tier or suspend access to paid features. You remain responsible for any amounts owed.
9. Intellectual Property
9.1 CorpRoster's Rights
The Service, including its design, source code, organizational structure, brand, logo, name, ranking methodology, and all non-user-generated content, is owned by CorpRoster and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
9.2 User Content
You retain ownership of the content you submit (Partner Content, reviews, communications). By submitting content, you grant us the licenses described in Sections 5.2 and 6.5.
9.3 Trademarks
"CorpRoster" and our logo are trademarks of CorpRoster. You may not use them without our prior written permission, except as permitted by fair use principles for editorial or descriptive purposes.
9.4 Copyright Infringement
If you believe content on the Service infringes your copyright, please send a notice to [email protected] including: (a) identification of the copyrighted work, (b) the location of the allegedly infringing material on the Service, (c) your contact information, (d) a statement of good-faith belief that the use is not authorized, (e) a statement under penalty of perjury that the information is accurate and that you are authorized to act, and (f) your physical or electronic signature.
10. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
CorpRoster makes no representation or warranty that:
- The Service will be uninterrupted, secure, error-free, or free from viruses or other harmful components;
- Any Partner listed on the Service is qualified, reliable, honest, or capable of delivering services;
- Any review or rating accurately reflects the quality of a Partner;
- The information on the Service is accurate, complete, or current;
- Any errors in the Service will be corrected.
Buyers acknowledge and agree that the decision to engage any Partner is made at their own discretion and risk, and that CorpRoster is not a party to any agreement between Partners and Buyers. Any disputes arising from such engagements must be resolved directly between the parties.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORPROSTER, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF CORPROSTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CORPROSTER'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CORPROSTER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations in this section apply to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless CorpRoster, its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the Service;
- Your violation of these Terms;
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights;
- Any content you submit through the Service;
- Any dispute between you and another user of the Service.
13. Termination
13.1 Termination by You
You may stop using the Service and close your account at any time through your account settings or by contacting [email protected].
13.2 Termination by CorpRoster
We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we believe in good faith that you have violated these Terms, engaged in fraudulent or harmful conduct, or otherwise pose a risk to the Service, its users, or third parties.
13.3 Effects of Termination
Upon termination:
- Your right to access and use the Service ceases immediately;
- Your account and associated content may be deleted in accordance with our Privacy Policy and retention schedule;
- Published reviews may remain visible (see Section 6.5);
- Outstanding payment obligations survive termination;
- Sections that by their nature should survive (e.g., 5.2, 6.5, 9, 10, 11, 12, 14, 15) shall continue in effect.
13.4 Refunds Upon Termination
If we terminate your account for a violation of these Terms, you are not entitled to a refund. If we terminate your account for any other reason, you may request a pro-rata refund of any prepaid fees covering the unused portion of your paid period; such refunds are reviewed and arranged manually by CorpRoster.
14. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which CorpRoster is established, without regard to its conflict-of-laws principles.
14.1 Informal Resolution
Before initiating any formal proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will engage in good-faith negotiations for at least 30 days before either party may commence formal proceedings.
14.2 Jurisdiction
Subject to Section 14.1, any disputes that cannot be resolved informally shall be brought exclusively in the competent courts of the jurisdiction in which CorpRoster is established, and you consent to the personal jurisdiction of such courts.
14.3 Class Action Waiver
To the maximum extent permitted by law, you agree that any dispute shall be brought solely in your individual capacity and not as a plaintiff or class member in any class, collective, or representative action.
14.4 Time Limitation
Any claim arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action arises, otherwise the claim is permanently barred.
15. Changes to the Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify users through a notice on the Service or by email. Continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes. If you do not agree to the changes, you must stop using the Service and close your account.
16. Miscellaneous
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CorpRoster regarding the Service and supersede all prior agreements or understandings.
16.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, internet or telecommunications failures, governmental actions, or third-party service outages.
16.6 Notices
We may send notices to you via email to the address associated with your account, by posting on the Service, or by any other reasonable method. You may send notices to us at [email protected].
16.7 Relationship of the Parties
Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and CorpRoster.
16.8 Language
These Terms are provided in English. In the event of any discrepancy between this document and any translation, the English version shall prevail.
